1. Acceptance of Terms
By accessing or using Veda AI ("Veda," "we," "us," or "our"), including our web application and APIs (the "Service"), you agree to these Terms of Service ("Terms"). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
These Terms incorporate our Privacy Policy and Security overview by reference.
2. Description of Service
Veda AI is a project management health analytics and governance dashboard. We connect to third-party work-management platforms (e.g. Jira) via authorized APIs, compute indicators such as SPI and CPI, and provide heatmaps and risk signals for informational purposes.
Unless a feature explicitly writes back to a Connected Service, we do not create, edit, or delete tasks or project records in third-party tools on your behalf.
3. Accounts, Workspaces, and Eligibility
You must provide accurate registration information and keep credentials secure. The Service is organized into workspaces with role-based access. You must comply with applicable laws.
4. Connected Services and Your Data
When you connect a Connected Service (e.g. Jira via OAuth 2.0), you represent that you have the right to grant access. You are responsible for compliance with your organization's policies and third-party terms.
For Jira display names, see our Privacy Policy section "Atlassian API Data Processing"—we store project keys and numerical metrics, not durable Jira project names in the health database.
5. Subscriptions and Payment
Paid plans: fees, billing cycles, and limits are described at checkout or on our pricing page. Subscriptions may renew automatically until cancelled. Taxes may apply.
Free-tier or trial limits (e.g. history window, issue caps per sync) may apply as described in-product.
6. Acceptable Use
You agree not to:
- Reverse engineer, scrape, or abuse the Service or Connected Service APIs beyond authorized use.
- Access another tenant's workspace or data.
- Upload malware, circumvent rate limits, or use the Service without rights to the data you connect.
We may suspend or terminate access for violations.
7. Intellectual Property
We own the Service, software, and branding. You retain ownership of your data in Connected Services. You grant us a limited license to process authorized data solely to provide the Service.
Feedback may be used to improve the product without obligation to you.
8. Data Accuracy and No Professional Advice
Important: Veda provides metrics, forecasts, heatmaps, and alerts for informational project governance only. They are not legal, financial, or professional project-management advice. You are solely responsible for decisions you make using the Service.
If source data in Jira or other tools is wrong, stale, or misconfigured, our displays will reflect those limitations.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, project delays, failed deliveries, internal disputes, or business interruption arising from your use of the Service or reliance on any metric, heatmap, forecast, or alert.
- Veda is not liable for schedule slippage, budget overruns, quality defects, contractual breaches with your clients, employment disputes, or decisions based on Dashboard indicators (including SPI, CPI, or health scores).
- Our total aggregate liability for claims in the twelve (12) months before the claim shall not exceed the greater of (a) amounts you paid us for the Service in that period, or (b) one hundred U.S. dollars (USD $100) if you use a free tier.
Some jurisdictions do not allow certain limitations; in those cases, liability is limited to the fullest extent permitted by law.
10. Third-Party Services and Dependency
The Service depends on third parties including Atlassian Jira, cloud hosting (e.g. Supabase), and authentication providers.
If a third party changes, suspends, or terminates APIs, OAuth policies, or availability—or if outages, cyber incidents, natural disasters, or government actions occur—the Service may be delayed or unavailable. Such events may be treated as force majeure where recognized by law. Veda is not obligated to provide credits or damages unless required by mandatory law or a written agreement.
Your relationship with Atlassian and other vendors remains governed by their terms.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Indemnification
You will defend and indemnify Veda and Grit Digital Hub from claims arising from your data, your use of Connected Services, your violation of these Terms, or disputes with your clients or employees, except to the extent caused by our gross negligence or willful misconduct where not waivable.
13. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach or discontinuation with notice where practicable. Provisions that should survive (liability limits, indemnity, governing law) survive.
14. Changes to These Terms
We may update these Terms. Material changes will be posted on this page with an updated "Last updated" date. Continued use after the effective date constitutes acceptance unless prohibited by law.
15. Governing Law and Disputes
These Terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law rules. Any dispute shall be submitted to the competent courts in Hanoi, Vietnam, which shall have exclusive jurisdiction, unless mandatory consumer protection laws in your country require otherwise.
